Policies and Terms

 

Free Consultation with Uniquely40 will be the initial contact with prospective clients.   The project or task will be discussed in details and recorded for future references.  From this initial Consultation a PROJECT PLAN and a “WORK FOR HIRE AGREEMENT” is prepared.

Before any work commences between Uniquely40 and their client, a  “WORK FOR HIRE AGREEMENT”,  which will be labeled either as, “CONTRACTUAL AGREEMENT”, “RETAINER AGREEMENT”  is REQUIRED and MUST be signed. When the client signs the “WORK FOR HIRE AGREEMENT”, and pay according to what is stipulated in the “AGREEMENT”, their reserve the number of hours which Uniquely40 will work with their business, monthly, weekly, yearly or hourly.

Each, “WORK FOR HIRE”, client will received a “Welcome Package” from Uniquely40.  Included in the package will be: (Does not apply to “Simple Contract”)

  • A Welcome Letter
  • A signed copy of their contract.
  • Project Plan
  • Signed Non-Disclosure Agreement
  • Clients Only VoiceMail
  • Client ID number
  • Copy of Our Policies and Terms
  • Workspace Log in Password if applicable

BILLING:

The date the client signs their, “WORK FOR HIRE AGREEMENT”, starts their billing cycle.

  • CONTRACTUAL AGREEMENT CLIENTS your payment is due before work commences.  If you can’t make your payment, call our office to make arrangement for  scheduling weekly payment  through our Secure Payment Site.
  • RETAINER AGREEMENT  CLIENTS  Invoiced is due upon receipt.  If payment is not received by the 15th day, work will cease until payment is received and the next month a late fee of $15.00 will be added to clients invoice.  (Does not apply to “Simple Contract”)
  • Hourly rates are billed in 15 minutes increments.
  • HOURS IN OUR RETAINER PLANS CAN NOT BE ROLLED OVER THESE PRICES ARE DISCOUNTED FROM OUR REGULAR PRICE. (Does not apply to “Simple Contract”)
  • If more hours are needed to complete the clients project, the client will be immediately notified, a signed addendum stating the same MUST be on file in our office before the project continues.  NO EXCEPTIONS.
  • Payment can be made with  Personal or  Business Checking account, and Money  Order.  All checks should be made out to UNIQUELY40, LLCAccount must be in good Standing order and Current.  All returned checks have a fee of $30.00.  Credit Cards, and Debit Cards are accepted through Google Checkout and Paypal.  If a charge back occurs, an additional fee of $50.00 will be applied to your account for an Administrative Search of our records.  (UPDATE: FEBRUARY 2012 — CASHIER’S CHECK WILL NOT LONGER BE ACCEPTED AS PAYMENT)
  • As of August 2010, there will be a Convenience Fee added to ALL online payments, no Convenience Fee is added if you pay by check
  • We do not charge for additional phone calls  after the initial Free Consultation, be mindful that during normal business hours, if our phone lines are busy, our automatic answering system will answer our lines.  Follow the instructions from our system.  We ask all Clients, if you need to speak with us, use E-mail, Instant Messenger, Fax , Your Assigned Workspace, Clients Only VoiceMail, Skype or access our Appointment Scheduler on our websites.  We will answer your inquires ASAP.
  • After the first month of service, any Consultation call, thereafter, will be charged at a rate of $25.00 per half an hour payable at the time of Consultation through FRESHBOOK, which will be emailed  during the  Consultation and must be paid at that time.   We must do this because we work mainly via  computers and are placing important calls for our clients, if we stop to answer phone calls, we are deceasing our work time.  Every Friday, we arrange appointments with all our clients to discuss their project .  Updates are sent to each client daily.  (SEE ABOVE NOTATION ABOUT HOW TO CONTACT US DURING THE WORK DAY).  Our Receptionist will handle all inquires and contact the appropriate staff member.  
  • Services provided to each client are listed in their, “WORK FOR HIRE AGREEMENT”,  and Project Plan.  SPECIAL PROJECTS are not listed in the, ‘WORK FOR HIRE AGREEMENT”, they are deemed Special Projects because of the time and preparation involved.  They will be charged at a Special Discounted rate for RETAINER AND CONTRACTUAL AGREEMENT CLIENTS.  All others this discount does not apply.
  • UNIQUELY40, reserves the right to charge per hour rate for RUSH JOBS.
  • UNIQUELY40, reserves the right to charge an additonal fee for work, which at the request of our client to be performed on a WEEKEND OR HOLIDAY. (Holidays Observed — New Years Day, Martin Luther Kings Day, Memorial Day, Independence Day, Labor Day, September 11,  Thanksgiving Day {Thursday and Friday}, Christmas Day.) NOTE:  Uniquely40 Vacation is usually schedule from December 25th to January 1st and JULY 1ST TO JULY 6TH.  We will, however have someone on call to answer questions and request for services.  CHRISTMAS DAY, NEW YEARS DAY, JULY 4TH AND JULY 5TH,  NO STAFF MEMBER WILL BE AVAILABLE.
  • Prices are subject change without notice, existing, “WORK FOR HIRE AGREEMENT”, will not be affected.

 EXPENSES

 Expenses incurred on behalf of client which are not included in any fees will be billed to the client.  (i.e. shipping, postage, long distant phone calls, special meeting after office hours, special software purchase, etc.) Your invoice total will reflect those charges in addition to your, “WORK FOR  HIRE AGREEMENT” rate.  Expenses are charged at cost.  What Uniquely40 pays for these services is what will be billed to the client.

PRIVACY

 Confidentiality is vital to our business.  No information about our clients or their project will be disclosed or released to any other company, unless it an requirement to complete our contractual agreed obligation.  At the conclusion of the assignment, clients’ files will be copied to a CD or Flash drive and given to the client.  If client request that we maintain a copy, we will do so at a minimal charge to the client.  The original files will be deleted from our company’s computer.  Only the clients name, address and phone number will be kept in our database.

WORK ETHICS

 We do not work on a commission basis, if your, ‘WORK FOR HIRE AGREEMENT’, have specific hours, and those hours are used while completing the project or task, we require payment for the hours used.  If your, “WORK FOR HIRE AGREEMENT”, includes a special price per project or task, when the project or task is completed, we require payment for each as mentioned.  Uniquely40 will and do not start any project or task from a Estimate or a Quote.

 CANCELLATION

 Cancellation of the, “WORK FOR HIRE AGREEMENT”, while in effect will only be accepted with the advance notice of Thirty (30) days.  Cancellation of a newly, “WORK FOR HIRE AGREEMENT”, must be made within Three (3) days of signing the, “WORK FOR HIRE AGREEMENT”. Any work performed with said Three (3) days before cancellation must be paid for.  NO EXCEPTIONS

NOTE:  Any new clients after January 1st 2011, since it is that you will be invoiced prior and said invoice must be paid prior to work starting , ANY WORK  PERFORMED PRIOR TO CANCELLATION WILL BE DEDUCTED FROM MONIES PAID AND THE REMAINING BALANCE RETURNED TO YOU THE CLIENT. 

DISPUTES

 Any disputes arising from a, “WORK FOR HIRE AGREEMENT”, will be mediated or arbitrated in Kings County, New York City.  All, “WORK FOR HIRE AGREEMENTS”, shall be governed and construed in accordance with the laws of the State Of New York.  Any changes to the, “WORK FOR HIRE AGREEMENT” must be agreed upon by Uniquely 40 and the Client and MUST be in written, no handwriting changes or cross outs may be made by either party.

 

NON RETAINER CLIENTS

 Non Retainer Clients are those who signs a “Simple Contract” labeled, “ACKNOWLEGEMENT OF INDEPENDENT CONTRACTOR”. This is used for clients that request non retainer client’s status. It is with the understanding that by choosing the Non Retainer Status that our price will be higher than that of our Retainer clients. This will be used with specified pre terming hours for a specific time, day, week, or month.   After the completion of said usages, the “Simple Contract” will expire.

It is understood that if a client request services after signing the “Simple Contract”, for additional days, weeks, or months;  another  “Simple Contract” must be completed and signed.

Cancellation of a “Simple Contract”, will  ONLY be accepted:

One (1) Hour after signing same Day, “Simple Contract”

One (1)  Day after signing a Week, “Simple Contract”

One (1) Days after signing a Month, “Simple Contract”

NOTE:  Any new clients after January 1st 2011, since it is that you will be invoiced prior for which invoice must be paid in full or a Deposit on work is required  prior to work starting , ANY WORK  PERFORMED PRIOR TO CANCELLATION WILL BE DEDUCTED FROM MONIES PAID AND THE REMAINING BALANCE RETURNED TO YOU THE CLIENT. 

Payment for a “Simple Contract”, must be paid in full at the signing of the “Contract”, before work commence.

NOTE:  Fees for returning check and charge back are the same as “WORK FOR HIRE AGREEMENTS”.

 Services to be paid in full are:

  1. General Office Work: (i.e. Travel Arrangements, Phone Calls to Clients, Desktop Publishing, Appointment Scheduling, Concierge Services, Personal Assistant Services)

The “Exception” to this is:

  1. Special Office Work, (i.e. creating PowerPoint Presentation, Expense Report, Email Management, Business Letter writing, Matrix Report Creation, etc.)
  2. Special Project, (i.e  Database creation, Database Maintaining, Researching and Investigation)

Payments:  1st – at the signing of the contract a 50% deposit is required, 2nd –  before the completion of project the final 50% is due.  No work will be release without project  being paid in full.

 

 “Simple Contract”, clients will receive a package containing

  1. Copy of Contract
  2. Username and Password for Secure Payment Page
  3. Non Disclosure Agreement
  4. Our Terms and Policies

 All other portion contained in the Terms and Policies will be in effect with the “Simple Contract”.   Note:  The term “WORK FOR HIRE AGREEMENT” will/should be replaced by “SIMPLE CONTRACT” when referring to “SIMPLE CONTRACT”.
